We are looking for a bright, pragmatic, experienced and resourceful attorney with top-tier legal skills and sound business judgment to join Infineras global legal team. Although you will have a primary emphasis on corporate securities, corporate governance, executive compensation and financing, the ideal candidate will also team with other Legal Department members and our cross-functional business partners to assist with GDPR and privacy matters, conflict minerals reporting, enterprise risk assessment, 401K plan matters, M&A and strategic projects. Based in the U.S., you will report directly to the Chief Legal Officer and will have exposure to business leaders throughout the organization, including Board members. You will advise on legal risks, business strategies, and other issues. The successful candidate will be a roll-up-your-sleeves, problem-solving attorney who possesses exceptional business judgment, creativity, persuasive writing capabilities, and an ability to work independently. It is critical that you are willing to work on a variety of projects simultaneously and learn new areas of law. The day-to-day work for this position requires collaboration with many levels of employees in different locations, as well as excellent time management skills to prioritize and efficiently manage workloads in a fast-paced environment, while maintaining good demeanor.

Essential Functions and Key Responsibilities:

Review, draft and negotiate all types of corporate transactional documents and agreements, with strong business and technical judgment, accuracy and precision

Identify and inform appropriate stakeholders of business and legal risks

Respond promptly and succinctly to requests for legal assistance from internal business partners

Manage priorities and work independently, driving transactions to successful conclusion

Provide back up and assistance as needed to other members of the Legal team

Minimum Knowledge/Skills/Abilities:

Ability to work and negotiate effectively with persons at various levels of experience while gaining their trust, confidence and respect

Ability to build constructive long-term relationships both internally and externally

Outstanding drafting skills and meticulous attention to detail and quality

Ability to confront uncertainty while calmly and creatively tailoring solutions to meet the companys needs

Ability to prioritize and focus on what really matters, using maturity and judgment

Work collaboratively with all levels of employees across the organization

Demonstrate genuine openness to new ideas, perspectives, cultures and approaches

Qualifications:

A minimum of 6 years of relevant experience with a top-tier law firm in handling complex corporate securities and financing transactions, ideally involving technology companies, and at least 10 years of practice as an attorney. While additional in-house experience is preferred, especially if it includes exposure to other substantive legal areas, its not a hard requirement for the right candidate. Its the relevant experience, quality, can-do attitude, work ethic, judgment and interest in corporate securities and financing transactions that is highly valued.

Superior written and oral communication skills

Experience negotiating and drafting that involved jurisdictions and parties outside the U.S. is valued, but not required.

Ability to work from home effectively in the near term

Education Required:

A J.D. degree from an accredited law school and a license to practice law in the State of California (in good standing)
