About the Position: The position will be the go-to legal counsel for Borregos half billion-dollar Engineering, Procurement and Construction (EPC) business, and work closely with members of the Legal, EPC Sales, Pre-Construction, Engineering, Construction and Procurement teams. In addition to negotiating and drafting contracts at the center of Borregos solar energy system construction business, the successful candidate will assess legal and business risk to inform Borregos EPC strategy. The EPC Counsel will also drive meaningful improvements in how the company efficiently negotiates and manages its construction-related contracts. The EPC Counsel will be located in Oakland or San Diego, CA. Primary responsibilities will include, but not be limited to:
Draft and negotiate engineering, procurement and construction (EPC) agreements, operations and maintenance (O&M) agreements, power purchase agreements (PPAs), supply agreements and subcontracts for PV solar and energy storage projects developed and/or built by Borrego
Advise EPC business on relevant legal, regulatory, and commercial risk.
Work closely with internal stakeholders to develop and implement improvements to contracting processes and tools, including a suite of regularly updated template documents
Advise on construction-related disputes and develop and manage process to continuously improve the dispute management function
Manage and supervise outside counsel as necessary
Juris Doctor degree and membership in NY, MA, IL, or CA bar
At least 4 years of substantial, relevant legal experience at a top-tier law firm, sophisticated corporate legal department or combination of the two negotiating construction contracts including EPC agreements and PPAs
Passion for accelerating the adoption of renewable energy
Track record of implementing process improvements to improve quality, efficiency and risk mitigation
Excellent organizational and time management skills
Excellent written and verbal communication skills, including the ability to convey legal advice in a succinct and actionable format.
Superb interpersonal skills and positive get-it-done attitude; including an unwavering commitment to teamwork and self-improvement
Desired Knowledge, Skills and Experience:
Refined business acumen and the ability to identify and implement practical solutions to complex business and legal problems
Hardworking, responsive and adaptable to what the situation dictates, including possessing the diligence to advance matters independently
Knowledge of laws, rules and regulations relevant to the development and construction of solar projects, including licensing requirements and labor regulations
Experience working in a construction or renewable energy company, or with renewable energy or construction clients, including addressing common legal issues that arise with customers and subcontractors.
Familiarity with Lean Process Improvement and 4DX principles
