We are interested in hiring an Assistant General Counsel to lead our corporate strategic and tactical legal initiatives and provide senior management with effective advice on company strategies and their implementation and obtains and oversees the work of outside counsel. The successful candidate will be directly involved in complex business transactions in negotiating critical contracts and ensuring that company contracts follow policies and legal guidelines.


Drafting and/or reviewing commercial agreements including, intellectual property agreements, nondisclosure agreements, employment, real estate and vendor contracts

Serves as legal advisor on all major business transactions, including acquisitions commercial agreements, vendor contracts, stock purchase agreements and joint ventures

Manages Companys intellectual property

Advising executive, senior management and board on various legal matters.

Advises on legal aspects of the companys financing, including assessing and advising on current and future business structures and legal entities

Manages outside counsel

Participates in the definition and development of corporate policies, procedures and programs


JD from an accredited law school and licensed to practice in New York


10 years experience working as an attorney, ideally with both in house and large law firm experience in capital markets, intellectual property, venture capital and private equity financing, M&A transactions and financing

Experience in software, media, technology or other innovative business-to-business industry

Experience with cross-border transactions

International law experience a plus


Strong leadership capabilities

Excellent verbal and written communication skills

Proven ability to work in a fast-paced environment

Excellent negotiating, drafting, problem solving and communications skills
