Global Transactions and Innovation Legal Counsel
Support the firms Strategic Innovation Group and Global Commercial business and drive the firms intellectual property program. Support transactional matters globally, including commercial client contracts, reseller arrangements, collaboration agreements, and strategic alliances. Provide advice and counsel to business teams firmwide who are developing new products and solutions. Maintain responsibility for contract structuring and negotiation, working closely with the business to mitigate risk and promote sound contracting practices, standards, and approaches consistent with firm policies and procedures. Due to the nature of work performed within this facility, U.S. citizenship is required.
-5+ years of experience in drafting and negotiating with the commercial market supporting technology and consulting services agreements for customers and clients on the sales side of the transaction, strategic alliances and reseller agreements, software licensing and Cloud and SaaS, or intellectual property protection and acquisition
-Ability to work independently and successfully manage a high-volume, diverse workload consisting of a wide variety of contract types in a fast-paced environment
-Ability to serve as a trusted business partner to develop comprehensive solutions to challenging problems
-Member of the bar in good standing in at least one state
-Experience with international client transactions
-Experience with US regulations on data rights in the government context
-Experience with technology-based transactions and cybersecurity solutions
-Ability to identify key contract obligations and potential business and legal risks and implement strategies for mitigating risks and resolving contractual issues and disputes
-Ability to contribute effective, value-added legal advice to internal business clients and guide and direct internal clients in understanding and interpreting business contract requirements
-Ability to build and maintain excellent working relationships with senior leaders and staff throughout the organization with external clients
-Possession of excellent influencing skills at all levels within an organization to articulate positions and explain complex contract language in simple terms
-Possession of excellent oral and written communication skills
