Overview

As Senior Vice President, General Counsel, you will oversee legal strategy and operations for the firm and its related companies. Your role combines legal leadership, strategic acumen, and deep understanding of working with the business to drive positive outcomes. You will advise the companys registered investment adviser and broker/dealer entities on corporate governance and all aspects of legal and regulatory matters. In addition, the General Counsel is responsible for oversight of general business legal matters and outside counsel relationships.

Key responsibilities

Advising executive management team on strategic initiatives as well as regulatory issues (e.g., SECs Regulation Best Interest and MA Fiduciary Rule)

Providing counsel on all legal-related issues within the investment adviser and broker/dealer entities

Representing the firm before regulatory oversight bodies

Overseeing the drafting of corporate documents and filings

Managing the firms litigation matters

Representing the Legal department and advising executive management on the execution of the companys legal strategy and activities

Analyzing new and proposed legislation that impacts the companys operation and initiating appropriate action plans

Leading a team of attorneys and legal employees responsible for anti-money laundering, fraud prevention, commercial agreements, customer complaints and arbitrations, contracts, vendor agreements, loan documents, and NDAs

Working in conjunction with the Compliance department to ensure comprehensive management of compliance and regulatory matters

Planning and actively managing the Legal department, with a focus on organizational efficiency and professional development

Working closely with the Operations, Wealth Management, Retirement, Field Development, and Human Resources departments to provide guidance to and ensure compliance with existing rules and regulations

Additional skills and knowledge

JD degree with strong academic credentials and a member in good standing of a state bar (Massachusetts preferred but not required)

Minimum of 15 years experience working at the SEC and/or an in-house legal department at a financial services company, or performing comparable work at a law firm

Knowledge of the legal and regulatory requirements important to the business, including the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and other relevant federal and state laws

Experience with ERISA a plus

Extensive experience dealing with regulators
