Overview

Working closely with other attorneys in Leprinos legal department, the Staff Counsel provides legal advice, counseling, and leadership to all levels of the organization on a broad range of legal matters, including contracts, real estate, and litigation. The Staff Counsel is an effective lawyer, business partner, and facilitator for various organizational groups, including supply chain/procurement, technical services, sales and marketing, quality, and operations. The role of this position is to collaborate with other Leprino attorneys to guide all business partners to successful business-centric legal resolutions in a proactive and efficient manner. The Staff Counsel will regularly work on projects with cross-functional teams that involve high degrees of risk, opportunity, and complexity.

Responsibilities

Contract Negotiation and Management

 Draft, negotiate, and manage contracts within all business groups, with an emphasis on commercial agreements, purchase orders, confidentiality agreements, IT vendor agreements, equipment purchase agreements, and engineering and construction contracts.

 Ensure that all forms and templates are developed, updated, and maintained.

 Maintain integrity of Leprinos contract management system.

 Develop and deliver appropriate training and materials to various business groups.

 Requires in-depth knowledge of relevant business processes and operations to ensure contracts are drafted to appropriately protect the companys interests.

 Working as a business partner, the Staff Counsel will identify and solve unique and complex issues that arise during the negotiation and drafting process that requires innovative thinking and creative solutions.

Operations / production Facility Legal Support

 Supports the real estate due diligence process.

 Assists operations and facilities management with resolving pre-litigation legal disputes.

Corporate Compliance

 Provides support and assistance in all areas of the Companys compliance program.

 Assists with investigation, fact-finding and other investigatory needs in connection with situations that arise under the Companys compliance program.

Litigation Support

 In conjunction with senior management and other members of the Legal Department, supports all litigation, including contract interpretation, litigation assessments and settlement analyses, and general legal advice on litigation matters.

 Assists with the development of overall strategy and approach with respect to designated litigation matters and engages cross functional teams to support the companys litigation needs.

 Interacts with and helps manage outside legal services (attorneys, experts, etc.) on litigation matters.

 Manages discovery process for all litigation matters, including distribution of appropriate document holds, document production, e-discovery, etc.

General Legal Department Accountabilities

 Directs, manages and/or assists with a variety of other legal matters outside of primary accountabilities as they arise or may be assigned. These matters may include:

 Data privacy;

 Environmental issues, including issues relating to water and wastewater, air quality, land-use, and chemical storage and handling.

 Food regulatory matters, including labeling and other associated matters.

 Marketing assistance, such as review of advertising claims and other marketing materials.

 M & A support.

 International business transactions, including corporate governance support for existing and new Leprino operations and activities;

 Labor and employment matters;

 Evaluation of the legal and non-legal aspects of key business challenges; and

 Other legal, corporate, and business matters and duties as assigned.

Qualifications

Minimum Qualifications & Experience:

 Undergraduate degree from a respected university in any discipline

 J.D. degree from an ABA accredited law school.

 Licensed to Practice law in Colorado (or licensed to practice in another state with the ability to obtain Colorado licensure within six months of hire date).

  • Minimum of 4 years experience as a licensed attorney with an emphasis on experience in transactional law.

Preferred Qualifications & Experience:

 Mid- Large law firm experience.

 In-house legal experience, ideally with a privately held organization.
