We are seeking a senior attorney to lead the Commercial Transactions Team in our Legal Department, reporting to the Managing Director and Head of the Corporate Practice Group. This attorney will be responsible for ensuring high-quality, responsive and efficient legal representation of the company with respect to a wide range of commercial transactions. In this role you will also be expected to develop strong working relationships with colleagues at all levels across the entire organization and manage a team of four attorneys and two paralegals.

Responsibilities include:
 Managing the workload and personnel of the Commercial Transactions Team
 Negotiating and drafting distribution, outsourcing, IT, professional services and other vendor agreements as well as assignments and amendments
 Providing counseling and proactive strategic advice to Corporate Sourcing and Procurement with respect to vendor management, general procurement processes, offshoring and outsourcing
 Providing counseling and proactive strategic advice to IT with respect to legal issues arising from the contracting process, management of products, platforms and vendors
 Leading the Commercial Transactions team in maintaining templates, playbooks, contracting policies, negotiation practices, and escalation procedures
 Overseeing the companys various Secretary of State filings and annual filings with state insurance departments under state insurance holding company acts and
 Identifying and implementing legal efficiencies and continuously improving our contracting processes


Required Qualifications

 10+ years of experience of Commercial Transactions related work

 Bachelors and JD required

Preferred Qualifications

 Law Firm experience preferred

 substantial knowledge of strategic sourcing and procurement
 experience managing teams and outside counsel
 experience managing large-scale projects
 superior drafting skills
 well-developed analytical, counseling, and communication skills
 excellent organizational skills and the ability to manage multiple transactions and projects while under pressure
 competency as a critical thinker and proactive problem solver, with a willingness to get into the details and drive creative solutions
 the ability to remain adaptable in a rapidly changing environment
