1. Key Accountabilities
Provision of Legal Advice
> Provision of concise and commercial legal advice in respect to any matter impacting the U.S. operations as requested, in areas including the following:
Real estate law and leasing, including residential tenancies (including tenancy or occupancy related disputes or third-party claims)
Contracts and procurement related matters
Data protection and privacy
Employment law and employment related claims
Construction and development
General corporate law and regulatory updates
> Keep abreast of emerging law and provide advice on any potential risk/impact on the U.S. operations
Production and review of documentation
> Review and advise on documentation produced by the U.S. operations as requested from time to time
> Drafting and advise on various agreements including but not limited to:
Project documentation (including but not limited to student accommodation agreements, project deeds, operator agreements)
Residential agreements and associated agreements
Service level agreements
Supplier Agreements and other forms of third-party engagements
Retail and commercial leases or other occupancy arrangements
Board papers and Investment papers
> Review website content and documentation to ensure consistency and compliance with laws
Compliance and Internal Controls
with the Group General Counsel, other members of the Legal Team and the Risk team to put in place a revised Compliance Framework
> Ensure the internal control procedures of CLV U.S. are implemented in line with compliance requirements
> Establish, review and manage specific control processes (e.g. involvement in debt facility compliance process, updating Village Summary Profiles and compliance system tasks)
> To develop and maintain positive working relationships within region and Group
> Assist in developing and maintaining positive relationships between CLV and various stakeholders including university institutions, residents, supply partners, local authorities, consultants, contractors, investors, lenders and others as appropriate
> General litigation and third-party claims
Development and Divestments
> Provision of broad-based legal advice and support to the CLV development team as may be requested from time to time; and
> Provide legal input into any divestment processes as necessary
> Working closely with the US General Counsel, the Risk, Safety & Compliance Officer, the Group General Counsel and the Chief Risk Executive to revise the current Compliance Framework, implement it on a group wide basis and maintain it. This includes:
o putting in place a new legislative compliance library in U.S.
o updating the existing U.S. contractual obligations library for transitioning to a new risk management software program
o working with stakeholders to ensure effective change management and buy-in
o in conjunction with the members of the legal team, sourcing and implementing training in key legal risk areas
o devising effective and timely reporting to management, the Board and other stakeholders as relevant
> Provide assistance on the assessment and reporting on Modern Slavery exposures in CLVs US operations and supply chains
> Demonstrated understanding of legal processes and how they apply in both an operations and development environment.
> Superior skills in communicating and influencing positively.
> Excellent written and oral communication skills in preparing correspondence, submissions, presentations and reports, with a focus on plain English with succinct findings and/or recommendations.
> Strategic thinker, able to assess complex matters and provide timely, relevant succinct advice and lead the implementation of initiatives as required.
> Autonomous and superior organizational skills with the ability to set, manage and lead competing priorities and ability to positively manage competing expectations.
> Able to analyze, dissect and report on legal data and apply on a commercial basis.
> Good understanding of compliance frameworks (preferable, not essential).
> Articulate and persuasive, and able to communicate in a confident manner legal concepts and outcomes to a broad range of stakeholder groups
> Energetic, passionate and driven with a desire to achieve outstanding results in a team environment and ensure the highest standard of outcomes
> Demonstrating high ethical standards, integrity and commitment to all business and commercial dealings

Qualifications and Experience Required
> 2-4 years of transactional real estate experience
> Juris Doctorate Degree
