JOB DESCRIPTION

Position Summary
Corporate Counsel is responsible for preparing, examining, analyzing, negotiating (in person, over conference calls and via email) and revising legal documents (including master agreements, addendums, amendments, letters and other related documents) for the purchase and sale of goods/services, both as vendor and customer. This position works cross departmentally and looks to reduce the Companys risk through contracting.

Essential Functions

  • Legal document development, administration and tracking of key legal provisions.
  • Negotiate terms, conditions, standards and language with minimal supervision.
  • Perform contract review and interpretation to support business team.
  • Misc. legal projects requested on an as-needed basis.

Qualifications

  • Juris Doctorate with a minimum of 5 years of in-house or private practice experience.
  • Law degree from an ABA-accredited law school.
  • Active license to practice law in one or more states within the United States.
  • Commercial contracting experience with emphasis on private security services preferred
  • The candidate must have extensive experience negotiating complex commercial contracts in an industry that has high risk exposure to liability.
  • The candidate must have experience drafting and negotiating indemnification and limitation of liability clauses, with the skill to articulate and defend the companys position on these clauses.

Work Environment
This job operates in a professional office environment. This role routinely uses standard office equipment.

While performing the duties of this job, the employee is occasionally required to stand; walk; sit; use hands to finger, handle, or feel objects, tools or controls; reach with hands and arms; climb stairs; talk or hear. The employee must occasionally lift or move office products and supplies, up to 20 pounds.

Position Type/Expected Hours of Work
This is a full-time position, salaried, exempt position under the FLSA executive exemption. Standard days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. This position may require long hours and weekend work.

Travel
Travel expectations vary and some may be extensive including out-of-area and overnight.

Required Education and Experience

Preferred Education and Experience

  • Commercial contracting experience with emphasis on private security services preferred

  • Must successfully pass an extensive background screening which may include criminal record checks (local, state and federal), drug test, skills assessment test, interviews, and personality profile.
