Who We Are Looking ForJoin Provenirs collaborative, growing team as our first in-house counsel focusing on client contracts and commercial matters, including data privacy and technology transactions. As part-time Staff Counsel and reporting to our Chief Financial Officer, youll work closely with a variety of teams at Provenir, including Sales, Customer Success, Finance, Technology and Compliance. You will provide commercial contract expertise across all functions and help manage Provenirs external contractual relationships. This is a role for an intellectually curious quick-thinker, capable of assessing nuanced risks in the context of business objectives and providing easily-understood, actionable advice. This role is part-time, approximately 30 hours per week. Currently, all Provenir employees are working from home. What Youll Do

  • Provide legal and contract advise to various teams as we continue to accelerate our global reach and expand our product offerings
  • Maintain global contract templates and ensure they reflect current relevant regulations
  • Draft, negotiate and advise our internal stakeholders on commercial agreements, including RFPs, NDAs, MSAs, SOWs
  • Advise on compliance with global data privacy laws and regulations, including consumer data collection, protection, retention, security, and breach practices
  • Maintain well organized, centralized repository of contracts. Provide advance notification of renewals and other key contract dates/information
  • Provide consultation and legal advice with respect to strategic initiatives, technology projects, customer and vendor contracts, intellectual property, dispute resolution, regulatory matters
  • Maintain knowledge of industry best practices and applicable legislation affecting operations

Qualifications and Skills

  • JD from accredited law school, member of a state bar
  • In good standing with state bar (NJ preferred) with no disciplinary record
  • 5+ years combined experience in tech transactions, or commercial lawyer in a law firm, or in-house legal department
  • Familiarity with SaaS contracts and transactions, preferably from fintech industry. Solid understanding of industry norms and standards for these types of agreements and experience translating them into actionable guidance for sales and technical teams
  • Strong organizational and communication skills, including the ability to prioritize among multiple projects while driving them to timely completion
  • A practical approach to lawyering, always keeping the companys business objectives and strategic focus top-of-mind
