Piedmont Advantage Credit Union seeks to hire a General Counsel for our fast paced, growing credit union. The General Counsel is responsible for leading credit union strategic and tactical legal initiatives. The General Counsel provides senior management with effective advice on company strategies and their implementation, manages the legal function, and obtains and oversees the work of outside counsel. The general counsel is directly involved in complex business transactions in negotiating critical contracts as well as the locations of our branch network. Additionally, the General Counsel oversees the credit union’s Risk Management and Recovery operations.

Essential Functions & Responsibilities:
Serves as key lawyer/legal adviser on all major business operations and transactions, including mergers and acquisitions, divestitures and joint ventures.
Assumes ultimate responsibility for ensuring that the credit union conducts its business in compliance with applicable laws and regulations.
Assumes ultimate responsibility, through oversight, of the credit union’s recovery and collection operations.
Assumes ultimate responsibility, through oversight, of the credit union’s risk management operations, to include, but not limited to, quality assurance and compliance and internal audit.
Builds the internal audit function for the credit union through collaboration with the management team and Supervisory Committee. Once an internal audit function is in-house, assume ultimate responsibility for the operations of the internal audit function.
Structures and manages the credit union’s internal legal function and applicable staff.
Participates in the definition and development of corporate policies, procedures and programs, and provides continuing counsel and guidance on legal matter and on legal implications of all matters.
Oversees the selection, retention, management, and evaluation of all outside counsel and vendors.
Determines the merits of major court cases filed against or on behalf of the credit union, works with the appropriate executive(s) to define a strategic course of action and approves settlements of disputes where warranted.

3.To maintain a cohesive, highly trained and motivated staff, sufficient to meet the needs of the credit union and to meet long-term organizational goals.

4.To ensure that people within management line are developed to their fullest potential.

5.To monitor the performance of subordinate areas of responsibility in attaining business objectives. Takes corrective actions as necessary when departmental objectives are not attained.

6.To keep the credit union informed regarding key legal issues that affect the policies and operations of the credit union.

7.To achieve results as specified in the credit union’s annual budget and strategic plans in specific areas of oversight and responsibility.

8.To provide the President/CEO recommendations for improvements and efficiencies.

9.To represent the credit union in contacts with business and trade associations, members, and regulatory agencies. Attends civic, League and corporate functions, and otherwise promotes the credit union’s image.

10.To be capable of, and willing to fully comply with the requirements of the Bank Secrecy Act, The Patriots Act, OFAC and all credit union policies and procedures relating to or arising from these laws and applicable government regulations.

Knowledge, Abilities & Skills:
At least ten (10) years of similar or related experience
Juris Doctor degree
Work involves extensive personal contact with members of the Board of Directors, community leaders, business leaders, and internal managers. Motivating others or getting them to do things that they might not do otherwise is a key to success for incumbents in this position. External contacts are vital, not only for the success of the position, but the success of the company overall.
A high level of interpersonal skills to communicate policies, procedures and objectives effectively throughout the credit union and to represent the credit union positively to partners, community and peers.
A high level of analytical skills to assess and evaluate the legality of the credit union operations, participate in establishing credit union wide financial goals, analyze new products, review legal opinions and draft reports to Board of Directors.
A high level of people leadership skills, including coaching, developing, team building, and leading staff toward effective execution of plans.
A deep understanding of financial institution management, including financial management, risk management, cost control, member value.
Able to organize, coordinate, and direct projects.
Strong oral and written communication abilities.
Excellent presentation skills.
Able to use all related hardware and software extremely computer literate.
