How
you will make an impact:
- Draft, review and
negotiate commercial contracts in support of the Entrust business segments,
including software agreements, cloud-based agreements, services agreements,
RFPs, consulting agreements and other technology related agreements - Provide legal support and guidance to a global
organization on a broad range of commercial,
corporate and other transactional matters as required - Collaborate with internal
clients at all levels to effectively minimize legal risk to the business
while supporting and assisting in the achievement of the companys
business and strategic objectives - Develop a comprehensive
understanding of the companys business and business practices; engage in
a participative and proactive style of legal practice in order to best
serve internal clients - Gain the trust of senior
management - Work in collaboration with other in-house attorneys and outside counsel
- Ensure compliance with all
applicable laws, regulations and policies
Qualifications:
- Juris Doctor degree with a minimum five years legal
experience and admission to the Bar of at least one state (preferably MN) - Desire
and ability to work in a fast-paced and highly challenging environment for
a successful, growing company with very high expectations - Experience drafting and
negotiating sophisticated contracts, particularly with regard to commercial
sales, and working with software agreements,
including licensing, SaaS, hosting and managed services agreements - Prior experience in the areas of cloud technology
agreements, data privacy and information security; ideally
in the cybersecurity industry (e.g., digital certificate and PKI or
similar industries) - Experience
with mergers and acquisitions (including due diligence and integration
activity), other corporate transactions and finance activities, and government
RFPs
