Stanford Hotels Corporation is seeking a business-driven Senior Vice President & General Counsel to join our team.

The SVP, General Counsel at Stanford Hotels Corporation is a vital member of the executive leadership team for a multi-industry group of companies, with industry focuses in hospitality, real estate development, single family and multi-family residential homebuilding, commercial property management and commercial equipment leasing.

The ideal candidate must provide business and legal advice for major strategic corporate decision-making across all business areas and is responsible for managing all legal issues for the corporation, and its affiliates, including development, entitlements, contracting, commercial financing, litigation, labor and employment issues, risk management, government contracts compliance, leasing and franchises.

Reporting directly to the President, the SVP, General Counsels areas of oversight include ownership, operation and development in the fields of hospitality, residential development, and commercial property.

Scope of work and Required experience.

Scope of work:

Review hotel related contracts including vendors, group business and franchise agreements.

Review, prepare or manage outside counsel on all renovation and major construction contracts.

Coordinate with SGenHC Insurance broker insurance provisions on all contracts.

Responsible for review and coordination with Insurance company on general liability claims.

Responsible with VP HR for monitoring of all Hotel HR policies with emphasis on areas where legal issues can occur.

With VP Finance and VP HR, be a trustee of the Company 401K plan.

Responsible for managing lawsuits brought against the company or its subsidiaries or those instituted by the company but with heavy liaison with and updating of President and VP Finance on ongoing cases or issues.

Responsible for recommending to President the hiring and retention of outside legal advisors.

Responsible for maintaining relationships with outside legal counsels.

Responsible for keeping current with issues relative to the business particularly the hotel industry.

Responsible for maintenance of Corporate and Hotel contract record keeping.

Responsible for Home building division on purchase and sale contracts and legal issues including litigation.

Preparation of Leases for the Commercial Building Division.

Review of bank loan documents (provided has the necessary experience).

Responsible for Joint Venture Agreements

Required Experience:

Licensed CA attorney.

Minimum 15 years experience in real estate and or hospitality.

Preferably worked in business as well as law firm

Preferably construction contract experience.

Preferably some litigation experience in business issues including HR.

Preferably some bank loan experience.

Preferably some real estate and joint venture experience.
