The Cognizant Legal team is looking for a Senior Commercial Transactions/Strategic Deals Corporate Counsel to join us in Dallas, Texas; Denver, Colorado; Washington, DC, or Teaneck, NJ.  This role will be focused on a wide range of technology related commercial transactions and you will be responsible for the full range of legal responsibilities associated with Cognizant’s strategic commercial transactions, including:

 

  1. Working in concert with Strategic Deals lead attorney to negotiate and coordinate all legal aspects of complex global strategic engagements;
  2. Negotiating other complex commercial contracts with our customers, many of which are represented by top law firms;
  3. Collaborating with fellow attorneys to develop and maintain templates, playbooks, contracting policies, negotiation practices, and escalation procedures;
  4. Addressing legal queries from business teams across various aspects law, contract and related customer inquiries, including compliance, intellectual property, privacy, litigation, and employment;
  5. Assisting GC of Corporate & Client Services and GC, UK & EMEA & Data Privacy Officer with project work, such as implementation of new contracting and data management platform

 

This fast-paced role requires excellent communication and time management skills. As Commercial Transactions/Strategic Deals Corporate Counsel, you will either work as a dedicated attorney for Strategic Deals, an assigned vertical attorney, or work in a broader role for multiple verticals.

 

Qualifications:

  • Licensed attorney with a minimum of 8 years’ expertise in large and complex commercial transactions with at least some time spent at a large reputable law firm;

  • Prior exposure to IT outsourcing strongly preferred but not required;

  • Experience in a wide variety of contract drafting and negotiations, preferably representing service providers;

  • Exposure to master service agreements, software-as-a-service agreements, or other commercial agreements with complex intellectual property, licensing, privacy, indemnity, and other risk allocation issues;

  • Ability to work efficiently, meet demanding deadlines in a fast-paced environment; prioritize work, and adjust to frequent workload fluctuations across multiple time zones;

  • Enjoy working in a rapidly changing and diverse environment and comfortable navigating through new challenges;
