As a talented and ambitious Corporate Junior Attorney, you will join our Global Entity Management’s dynamic Americas team in Jacksonville, FL and be responsible for providing support to our Americas Global Entity Management team based out of the New York and Jacksonville offices. The Americas team manages large portfolios (300+ entities) of Macquarie subsidiary companies across the region.

You will be responsible for drafting board resolutions and related documents for statutory changes, annual compliance obligations and other corporate actions including overseeing the formation, dissolution, corporate maintenance and administration for entities in the United States, Canada, Mexico, Argentina, Brazil, Bahamas and the Cayman Islands. 

In addition, you will liaise with external service providers, including our legal counsel, to ensure compliance with local laws and regulations, as well as organize, attend and minute subsidiary board meetings. You will also work to compile and distribute board and committee meeting packs electronically through Diligent Boardbooks, maintain group company statutory records on Blueprint, and compile company and ad hoc reports from Blueprint and charting as required. Lastly, you’ll be responsible for responding to ad hoc requests for company statutory information and copy documents from the business groups and external parties.

You will need to possess a Juris Doctor and license to practice in at least one jurisdiction and bring a minimum of two years experience in a corporate setting, preferably within financial services.  In addition, you will need to demonstrate proficient skills and knowledge of Office 365, MS Word, Excel, PowerPoint, Outlook, Worksite and Blueprint (or similar entity management database), coupled with the ability to work under pressure and meet deadlines, work independently and to report to supervisors in different locations. You must also have a flexible and enthusiastic approach to work and the ability to travel to our New York office when required. Lastly, you will have excellent personal presentation and communication skills, both written and verbal.
