Role and Responsibilities

Securities

  • Ensure compliance with securities laws, rules and regulations
  • Prepare (with cross-function teams, as warranted) and file Forms 8-K, 10-Q and 10-K, registration statements, proxy statements and all related filings
  • Lead preparation for the annual shareholders meeting
  • Advise members of executive management regarding securities activities

Finance

  • Review, advise and assist with filing/publishing quarterly earnings releases, investor presentations, quarterly and annual reports and other public communications
  • Advise on all executive compensation activities, maintain and update form equity award agreements and oversee section 16 officer filings and related activities
  • Assist with capital markets due diligence requests, transaction documents, and communications

Mergers & Acquisition

  • Draft, negotiate or review non-disclosure agreements
  • Assist with drafting and negotiation of asset and equity purchase/sale agreements, joint venture agreements, and the like
  • Oversee and take responsibility for due diligence activities

General

  • Collaborate with and provide support to the other members of the Legal team
  • Manage the work of outside counsel to ensure efficient and cost-effective support
  • Support the continuous improvement of legal processes to promote efficiency
  • Contribute positively to the culture of the Legal team and the company as a whole
  • Stay abreast of and update other members of the team and internal clients about pending changes in securities and other laws applicable to the company
  • The scope of this position may evolve and change as dictated by business demands

Qualifications and Education Requirements

  • Law Degree from a top tier U.S. law school or top 10% class rank from other U.S. law school
  • Admitted to the bar of at least one US state or the District of Columbia
  • Minimum 2-3 years of experience working in a top tier law firm and/or in-house legal department
  • Experience managing securities and corporate finance matters at a larger law firm or public corporation
  • Substantial familiarity and recent experience with SEC/exchange rules and filings
  • Prior experience providing legal counsel directly to business clients
  • Preferred: Experience in supervising and coordinating outside legal counsel and other advisors
