Job Description Summary

The Senior Counsel North America (NAM) will work as part of a broader international legal team and will have a regional remit covering NAM, Canada and Mexico JV. Whilst the Senior Counsel is primarily responsible for supporting the region, the Senior Counsel will provide specialist advice horizontally across the globe on US Government contracting, Sourcing contracts and Digital contracts.

Job Description

Essential Responsibilities :

As the Senior Counsel North America (NAM) you will be:

  • Acting as a key member of PC NAM leadership team and advising NAM General Manager and staff on legal, compliance and regulatory aspects of NAM operations, including compliance with US cybersecurity related executive orders and regulation
  • Supporting growth opportunities and initiatives of PC NAM. The transactions typically include the full range of customized engineering solutions for marine, O&G, metal and Power industries, Digital and SaaS contracts, significant volume of contracts with the US government and US Navy, distribution agreements, strategic partnerships
  • Drafting, reviewing and negotiating the NAM P&L strategic contracts; approving critical deal terms in accordance with business delegation of authority
  • Supporting the project organization in relation to NAM claim management and managing outside counsel, when brought in to assist
  • In conjunction with PC Global Chief Compliance Officer and global/local technical regulation and standard, EHS, Risk and export control functions, supporting the implementation and maintenance of a strong compliance culture in the NAM P&L, including overseeing audits to assess compliance with processes and applicable regulation
  • Working with the company secretary on matters of NAM legal entities corporate housekeeping
  • Providing training to the NAM employees on contract risks, claim management, NAM specific regulatory compliance
  • Under minimal supervision, plans, conducts and supervises complex legal assignments

Qualifications/Requirements :

  • Juris Doctorate from an accredited law school
  • Minimum 7 years of legal experience
  • Minimum 5 years experience with US government contracting
  • Minimum 5 years experience at both a large (preferably international) law firm and as in-house counsel is preferred
  • Minimum 5 years experience with sourcing and digital contracts is a preferred

ELIGIBILITY REQUIREMENTS:

  • Ability and willingness to travel (within the region and outside) is likely
  • This position will report directly to Power Conversion General Counsel
  • Flexible work locations will be considered
