Overview
MAJOR DUTIES AND RESPONSIBILITIES:
Responsible for advising corporation concerning legal rights, obligations, and privileges.

Interprets laws, rulings, and regulations for corporation.
Examines legal data to determine advisability of defending or prosecuting lawsuit.
Acts as agent of corporation in various transactions.
Represents corporation in litigation and other legal proceedings.
Provide practical legal advice and support to senior management with respect to corporate governance, contracts, intellectual property, compliance, privacy/data protection, employment law, financing activities, and other matters
Provide legal advice in thinking about new product development and market expansion both domestically and internationally
Advises corporation concerning transactions of business involving internal affairs, stockholders, directors, officers and corporate relations with general public.
Work closely across internal teams (product & engineering, marketing, sales, finance) to provide balanced legal guidance, develop processes and manage legal/compliance risks Identify proactive solutions that will eliminate or mitigate risks
Prepares business contracts and administers other legal matters. Maintaining knowledge of the company’s legal documents and operations Keeping a record of all legal documents and proceedings for the company Keep abreast of legislative changes Communicating with outside counsel Facilitating filings of licensing forms and other statutory requirements Legally filing for copyright of intellectual property
Performs other related duties as assigned by management.
QUALIFICATIONS:
Master’s degree (M.A.) or equivalent; or four to ten years related experience and/or training; or equivalent combination of education and experience. Strong academic credentials and J.D. from a nationally recognized law school Current member in good standing of the California state bar 5 years of law firm and / or in-house legal department experience, preferably in a medical device/biotechnology/life sciences industry support role. Overall broad legal knowledge (corporate law, litigations, labor law, etc)
Versatility, flexibility, and a willingness to work within constantly changing priorities with enthusiasm.
Strong understanding of business process with the ability to translate business requirements into technical requirements and deliver requested output timely and accurately
Experience managing other attorneys and supervising support staff in a corporation; experience with cost-effective management of outside legal resources.
Experience leading or playing a key counsel role in strategic partnerships
Experience working on matters of corporate governance and with a board of directors.
Experience with data protection and privacy practices as well as complex IP litigation cases. First class interpersonal and communication skills
