This position is responsible for providing legal services to all areas of the company and for managing the compliance analysts.
NATURE AND SCOPE:
This position reports to Vice President, Deputy General Counsel.
Activities of Direct Reports:
This position has 5-6 direct reports.
In order to effectively fulfill this position, the incumbent must be in contact with:
Senior management, officers of the company which includes Louisiana Health Service & Indemnity Company d/b/a/ Blue Cross and Blue Shield of Louisiana and its subsidiaries HMO Louisiana, Inc. and Southern National Life Insurance Company, Inc., outside counsel, both referral attorneys as well as opposing counselors, legislative bodies, professional associations, governmental entities, regulatory agencies, and consultants.
Must have J.D. Degree and admitted to practice law in the State of Louisiana.
Minimum of eight years experience in the practice of law, with at least five years in the insurance industry or governmental position relating to insurance or healthcare, is required. Supervisory experience is required.
Must have broad legal knowledge, extending beyond the insurance and healthcare legal and regulatory fields.
Must have excellent organizational skills.
Must be self-motivated and have the ability to motivate others. Must have the ability to work with others. Ability and willingness to take actions necessary to improve departmental performance is necessary.
Must be willing to promote and support department and company projects and strategies.
ACCOUNTABILITIES & ESSENTIAL FUNCTIONS:
Performs high level legal research and analysis in numerous areas of law and policy, often involving novel and complex issues, to provide employees with a thorough legal analysis with regard to pending legal issues.
Responsible for management of direct reports, including assignment and coordination of responsibilities, educational training needs and requirements, timely performance evaluations and feedback, and keeping direct reports abreast of the company’s mission, vision, strategies, goals and values.
Prepares, negotiates, and evaluates contracts and other legal documents associated with transactions for the company, including healthcare provider services, high-tech procurement, leasing, outsourcing, professional services agreements, delegated entity contracting, administrative services only agreements, reinsurance and stop-loss contracting, risk management and risk sharing agreements, to contractually mitigate risks and protect the competitive interests of the company.
Advises senior management of the legal ramifications of proposed corporate strategies, resolution of corporate legal issues, and legislative and regulatory developments, to position the company as the preeminent healthcare company.
Directly participates in litigation, arbitration, administrative proceedings, dispute resolution, and administrative and medical necessity appeals including, but not limited to, preparation of pleadings, trial and appellate briefs, negotiation between the parties, the conduct of trial and hearings, and all other court, arbitration or dispute resolution appearances.
Oversees and coordinates the efforts of outside counsel in order to represent most effectively the interests of the company.
Drafts, edits and analyzes a wide variety of documents, such as legal memoranda, state and federal legislation and administrative agency regulations and actively participates in the state and federal regulatory processes to maximize the company’s strategic position in the marketplace.
Responsible for the creation, maintenance and oversight of fully-insured and ASO plan documents, including but not limited to any regulatory filings associated with such insurance products.
