Associate General Counsel- Corporate – Minneapolis

The Associate General Counsel, Corporate plays a critical role in our Legal organization responsible for providing legal advice, support and oversight on all corporate legal matters, including mergers & acquisitions, financing and tax transactions, joint ventures, strategic joint development and license agreements, public company corporate governance and policies, Board support, global subsidiary management, and SEC and NYSE compliance matters. This role will advise top management and the Board and provide assistance to the General Counsel on these matters as needed. In addition, this role is responsible for leading a team of professionals supporting the broader global corporate enterprise functions including functions such as IT, sourcing and R&D.
This role reports directly to the SVP, General Counsel and Corporate Secretary.


  • Manage corporate governance and Board of Director matters, including planning, preparing for and, as needed, participating in Board and Committee Meetings.
  • Review and advise on the Company’s public disclosures, including Securities and Exchange Commission Forms 10-K, 10-Q, 8-K and Section 16 reports; leading the team responsible for the Companys annual Proxy Statement; and advising generally on SEC and NYSE compliance and governance.
  • Provide legal counsel for capital markets transactions, including securities and debt offerings and other complex transactions.
  • Lead legal support for mergers and acquisitions, joint ventures, and other growth-oriented and strategic transactions.
  • Provide legal advice and support with respect to subsidiary structure and legal entity management and related tax considerations.
  • Serves as the Legal Departments primary contact providing legal advice to the Corporate enterprise functions and leads and manages the legal professionals directly providing such services. Coach, develop and mentor teams driving a strong internal talent bench and high performance culture.
  • Collaborate with internal clients at all levels to effectively minimize legal risk to the business while supporting and assisting in the achievement of the companys business and strategic objectives.
  • Develop a comprehensive understanding of the companys business and business practices; engage in a participative and proactive style of legal practice in order to best serve internal clients.
  • Develop, implement, and execute policies, procedures, guidance, training materials and other interpretations of laws and regulations to ensure compliance.


  • Juris Doctorate required
  • Licensed to practice law in Minnesota.
  • Minimum Experience: 10-15 years experience as an attorney, experience in both an external law firm and in-house corporate role for a public company desired.
  • M&A, Securities & corporate governance experience is required.
  • Prior experience leading legal professionals.
  • Demonstrated ability to clearly and succinctly deliver legal advice both orally and in writing to business partners.
  • Preferred candidate will have international experience, experience drafting, reviewing and negotiating complex commercial agreements (sourcing and IT) and a firm understanding of intellectual property matters.
