General Counsel – New York

Kickstarter

Kickstarter, PBC is seeking an experienced General Counsel to join our team.
About the Team
Kickstarter is a Public Benefit Corporation, and our mission is to help bring creative projects to life. We measure our success as a company by how well we achieve that mission, not by the size of our profits. In our charter, we spell out our mission, our values, and the commitments we have made to pursue them.
About the Role
Were looking for an experienced, business-minded strategic General Counsel to drive strategy and refresh our legal function. Reporting directly to the CEO, you will serve as a member of the leadership team and support the board of directors and other senior management.
This role is unique in nature as you will be expected to not only build, manage, and lead the legal team, but also roll up your sleeves to implement legal and compliance processes from scratch.
Specifically, matters will include advising on labor and employment (bonus if you have experience working with a unionized workforce), tax, international expansion, litigation, and real estate.

In This Role, You Will:

    • Advise the Board of Directors, CEO, executive team, and staff in strategic decisions.
    • Build and manage our companys legal team as well as our legal and compliance processes from the ground up.
    • Work closely with our CEO on developing and implementing creative governance structures that support the companys PBC mission and goal of long-term independence.
    • Oversee all matters related to the companys PBC status and annual report, including advocacy, internal compliance, reporting, and development of future governance structures.
    • Demonstrate a broad range of subject-matter expertise in platform governance, including data privacy, employment law, IP (including management of trademark portfolio, patent defense and prosecution, and DMCA/trademark compliance related to user-generated content), regulatory work, transactional work (including contract negotiation and licensing), and corporate governance.
    • Provide strategic legal advice across the company (including to the product team), balancing legal needs with company values and objectives.
    • Support and advise our People Team on policies, procedures, and compliance.
    • Support the teams work, including negotiation of major contracts and development of standard contracts to support business.
    • Oversee selection and management of all outside counsel.
    • Manage and direct strategy on all litigation.
    • Apply artist-/creator-friendly perspective to assessments of risk (in particular with respect to IP and user-generated content).
    • Handle companys public policy matters, including both proactively addressing US and international regulatory issues and positioning Kickstarter as a leader in public policy issues related to artists and creators and the companys PBC commitments.

About You

    • You have substantive, extensive professional experience, with ideally 3-5 years in-house in a General Counsel role.
    • You have a J.D. from a top law school with a strong academic record and bar admission (and in good standing) in any U.S. state.
    • You have extensive experience managing an in-house legal team.
    • You have strong experience building and implementing legal and compliance processes from scratch.
    • You have a strong ability to turn legalese into language that everyone understands and believes in.
    • You have excellent communication and collaboration skills, holding yourself and others accountable with kindness and humility.
    • You have impeccable written, verbal, and presentation skills.
    • You are highly organized and able to juggle many projects at any given time.
    • You have a proven track record of providing proactive, pragmatic legal counsel to business partners.
    • You have sound judgment; you know how to resolve complicated matters while maintaining integrity and confidentiality.
