AIGs Global Legal, Compliance, Regulatory and Government Affairs (GLCR) department is comprised of attorneys and other professionals providing high quality advisory and transactional support with integrity and objectivity across all parts of the organization. AIG is seeking a broad-based ERISA Attorney to cover a wide range of ERISA and executive compensation matters.

The ERISA Attorney will be based in our New York office and will report to the Companys Senior ERISA attorney in our Global Legal Compliance & Regulatory organization.

The successful candidate will be an ERISA Attorney with the ability to conduct primary research and analysis; to draft memos, plan amendments, employee communications and other ERISA documents; and to advise internal clients/senior management, both verbally and in writing, on a wide range of operational and compliance matters, all with a minimum of reliance on outside counsel. The role requires an individual who has had hands on experience conducting/supporting due diligence efforts in M&A transactions, negotiating purchase agreements, and managing post-transaction benefit plan integration and separation activities.

Job functions will also include (i) evaluating and advising on questions arising out of the design, implementation, and administration of various ERISA retirement, welfare and executive compensation plans and (ii) negotiating benefit plan fiduciary and vendor agreements.


  • JD required.
  • The ideal candidate will have passed at least one Bar exam, preferably in NY or NJ.
  • The ideal candidate will possess a minimum of six plus years of experience as an attorney, with four or more years at a single organization,
  • Preferred candidates will have spent time at a large national or regional law firm.
  • General knowledge of ERISAs plan qualification and fiduciary rules is necessary.
  • Strong working knowledge of IRC 409A and executive compensation tax rules and amending executive compensation plans will also be important.
  • The ability to negotiate employee benefits vendor and administrative services agreements is a plus.
  • Candidate must also have excellent communication and organizational skills, must be detailed oriented, and will be expected to navigate large, multifaceted projects to completion with a minimum of supervision.
  • This position requires a high degree of independent analysis and judgment, as well as the ability to work directly with a wide variety of outside counsel, Corporate Legal staff, HR and Benefits Department staff, and business unit personnel.
