Job Summary/Basic Function

A commercial attorney with primarily a transactional and business background to work in support and at the direction of the Deputy General Counsel, and alongside the Universitys other attorneys on project assignments that reflect the wide-ranging legal needs of the University. A corporate generalist who can work independently, and who exercises good judgment and discretion. Project assignments are expected to be primarily transactional and business-related in nature, but from time to time a minority portion of the attorneys work may involve in-house support for the Universitys outside litigation counsel as they interface with the institution.

Minimum Qualifications

 Juris Doctorate degree from an ABA accredited law school.
 Strong academic record at both the undergraduate and law school levels.
 Current license and in-good-standing to practice law in Virginia, or ability to become licensed. (Alternatively, licensed in another jurisdiction and able to obtain a Corporate Counsel Certificate.)
 Four (4) to eight (8) years of relevant experience at hiring.
 Understanding of commercial transactions.
 At least three (3) years experience reviewing, negotiating, drafting and advising on a wide variety of commercial contracts, to include most of the following: MSAs, vendor contracts, NDAs, licensing agreements, consulting agreements, SaaS and technology agreements, MOUs, affiliation agreements, franchise agreements, facility-use agreements, commercial (retail) and residential real estate leases, construction contracts, and real estate purchase and sale agreements.
 Experience reviewing and managing due diligence materials for associated transactions.
 Experience creating and revising various commercial forms, such as waiver/assumption of risk forms and equipment rental forms.
 At least two (2) years corporate governance experience, to include forming LLCs and corporations, drafting internal corporate documents, creating and maintaining corporate books and records, and monitoring related regulatory filings.
 Experience working with clients in regulated industries (preferably at both the federal and state levels).
 Experience with privacy laws and issues.

Preferred Qualifications

 Prior experience as an in-house attorney.
 Prior experience representing universities and/or colleges.
 Undergraduate or graduate degree with accounting, economics, finance, or other business-related major.
 Knowledge of not-for-profit, technology and/or healthcare law.
 Some exposure to a litigation and/or alternative dispute resolution practice with knowledge of court and arbitration procedures, and discovery processes.
