They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. Background on the Position
Morgan Stanley is seeking an attorney to join an established, experienced team with a primary focus on coverage of the North American Fixed Income and Commodities businesses.

Primary Responsibilities

  • Role: Director/Vice President, commensurate with experience.
  • Provide day-to-day legal and regulatory advice to Fixed Income and Commodities personnel on a variety of issues involving OTC derivatives, debt instruments and physical commodities.
  • Draft, review, negotiate and approve legal documents, including schedules and annexes to master netting agreements, guarantees, loan documents and NDAs/confidentiality agreements.
  • Liaise between the business units and outside counsel on specific issues.

Assist with litigation and regulatory inquiries relating to Fixed Income and Commodities

Qualifications

Skills required (essential)
We are seeking an attorney with 3-6 years experience at a law firm or major in-house legal department, who is admitted to practice in NY.

The ideal candidate will possess:

  • Experience negotiating and advising on a variety of commercial contracts (including ISDA Master Agreements and related agreements)
  • Strong organizational, project management and reporting skills;
  • Excellent drafting and communications skills;
  • Ability to manage and prioritize multiple projects with competing deadlines;
  • Strong interpersonal skills and ability to work in a group or independent setting.
