The Red Hat Legal team is looking for a talented attorney to join our Commercial Transactions team as a Public Sector Commercial Attorney in Tysons Corner, VA. In this role, your will primary focus on supporting Red Hat’s North America (NA) public sector business and on the involvement in other commercial transactions in North America. You’ll interact with the management and key business customers while providing direct support to Red Hat’s sales teams in structuring and closing deals, as well as defining legal strategies. You’ll need to be able to assess legal risks while applying good legal and business judgment. You’ll also need to have excellent communication skills to interact with internal and external business customers while addressing complex issues in an accurate, clear, and concise, yet thorough manner. Draft, review, and negotiate master services and software subscription agreements, professional services agreements and statements of work, and partner agreements for resellers, distributors, systems integrators (SIs), independent software vendors (ISVs), and cloud providersReview and analyze unique government contract requirements, solicitation provisions, and terms and conditions to ensure Red Hat’s compliance with appropriate laws, regulations, federal policies, and Red Hat’s business modelSupport government compliance efforts, including assisting with identifying and assessing potential organizational conflicts of interests and providing compliance trainingSupport bid and proposal efforts, including preparing representations and certifications, addressing issues related to price reasonableness evaluations, teaming agreements, etc.Educate customers about open source development and licensing, including Red Hat’s subscription business modelSupport and coach our sales teamWork with the product, finance, and operations teams to develop negotiation strategies and resolve contractual issuesAssist with the development of new Red Hat’s offerings and programs and contract templatesParticipate in compliance initiatives, including training internal customers on legal and contracting policies or issues, covering ethics and anti-corruption issues
