International regulators have identified the market’s widespread reliance on LIBOR as a systemic risk and have indicated that market participants should prepare for the end of LIBOR by December 31, 2021. With an estimated $350 trillion of global financial contracts referenced to interbank offered rates, the impact of this shift will be far reaching. Wells Fargo is seeking an experienced financial transactions attorney to join a new team providing counsel to multiple lines of business and the Company-wide LIBOR Transition Office regarding the transition of numerous Wells Fargo products and processes referencing the interbank offered rates to new benchmark rates. The successful candidate will be responsible for providing legal advice and counsel regarding benchmark transition planning for the Company’s international capital markets businesses. Specific responsibilities include: analyzing and interpreting complex documents for syndicated loans, floating rate notes, derivatives, securitizations and other products; advising on documentation changes and design of documentation for new products; providing guidance regarding relevant document platform system changes; participation in industry initiatives; tracking of legal and regulatory developments; managing outside counsel support and legal expense; and following Legal Department policies and procedures in carrying out support and matter management responsibilities.

Required Qualifications

  • 5+ years of legal experience with a major law firm, securities regulatory agency or in-house law department; including 3+ years of representing firms in capital markets and investment banking activities
  • Active State Bar membership

Other Desired Qualifications

  • Experience with complex corporate and/or financial institution financing transactions
  • Experience with CEA, SEC and MSRB rules and regulations relating to derivatives and securities
  • Familiarity with the IOSCO Principles for Financial Benchmarks and the EU Benchmarks Regulation
