The Red Hat Legal team is looking for a talented Commercial Attorney to join our commercial transactions group supporting the Americas at our headquarters in Raleigh, NC. In this role, you’ll interact with management and key business customers while providing direct support to Red Hat’s sales teams in structuring and closing deals and in defining legal strategies. You’ll need to be able to assess legal risks while applying good legal and business judgment. You’ll also need to have excellent communication skills to interact with internal and external business customers while addressing complex issues in an accurate, clear, and concise, yet thorough manner. The legal challenges that we face are often unique, like developing and maintaining a framework for supporting a thriving business built on open source principles. As a Commercial Attorney, you’ll need to have experience negotiating contracts and an understanding of practical business risks and needs of your client, a passion for technology, excellent problem-solving skills, and an ability to thrive in a fast-paced, changing technology and business landscape.

Draft, review, and negotiate master services and software subscription agreements, professional services agreements and statements of work (SOWs), and partner agreements for resellers, distributors, system integrators (SIs), independent software vendors (ISVs), and cloud providersEducate customers about open source development and licensing, including Red Hat’s subscription business modelSupport and coach our regional sales teamsWork with product, finance, and operations teams to develop negotiation strategies and resolve contractual issuesAssist with the development of new Red Hat’s offerings, programs, and contract templatesParticipate in compliance initiatives, including training internal customers on legal and contracting policies or issues, including ethics and anti-corruption issuesServe as a subject matter expert on various legal developments relevant to commercial issues

Degree from a top law school with excellent academic credentialsLicense to practice law in any U.S. state3+ years of relevant professional experience in software and IT services contract negotiations; solid knowledge of commercial and contract lawExperience handling in-house commercial contracts dealing with technology revenue transactions and with supporting a sales organization or law firmExperience drafting and negotiating complex business transactions like mergers and acquisitions (M&A) agreements, debt and equity financing arrangements, business-process outsourcing agreements, etc.Ability to work with minimal supervision while maintaining a firm focus on applying commercial legal principles to practical business relationships and offeringsExcellent written and verbal communication skills, attention to detail, and demonstrated analytical abilitiesDemonstrated passion for technology, software, intellectual property (IP), and open source or copyleft licensing issuesAbility to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuationsCreative problem-solving skills with focus on achieving results that benefit our business while recognizing customer needsPositive attitude and a sense of humorFluency in Spanish or Portuguese is a plusExperience with open source technology is a plusRed Hat is proud to be an equal opportunity workplace and an affirmative action employer.
