Overview

The General Counsel is the chief legal officer for Day & Zimmermann’s Government Services Business Unit (DZGS), a leading government services contractor providing mission-critical safeguards and security; facility management and operations; architecture and engineering services; explosive ordnance storage and disposal; international logistics; and life support services. As the chief legal officer for DZGS, this position has responsibility to ensure that DZGS receives all legal and risk management advice and services needed for the conduct of its businesses.

Knowledge of US and foreign laws related to doing business as a federal government contractor, both domestically and overseas, including FAR, DFAR, SCA, ITAR, FCPA and EAR, as well as Human Trafficking and export of ITAR and EAR controlled items
Strong business acumen; ability to learn, understand, and provide insight on significant business issues
Ability to function as an effective counselor and confidant, working closely with senior business leaders
What You’ll Be Doing:

Partner with DZGS Leaders to assess, predict and manage risks in varied businesses operating in classified, fast-changing and high-risk environments.  Ensure that DZGS leaders receive timely and best-in-class legal advice and services; this includes doing hands-on legal work and facilitating support from outside counsel and internal subject matter experts, including the Vice President of Labor and Employment Law.
Manage and support DZGS contracts staff in the review, negotiation, and approval of customer contracts and support DZGS compliance with applicable laws and regulations. Attract, retain and develop employees. Evaluate team members for compliance with established goals /objectives, contributions in attaining goals/objectives, and overall performance. Collaborate with operational and supply chain leadership teams to ensure that contractual and operational risks assumed by DZGS are flowed down to subcontractors and suppliers.
Ensure that claims and litigation are well-managed, with support from the Vice President of Labor and Employment Law for employment claims. Implement strategies related to dispute resolution and settlement. Select and manage outside attorneys, as needed, including establishing budgets and managing legal expenses.
Secure licenses and permits necessary for DZGS to pursue and perform armed security, architectural and engineering and other services domestically and abroad.
Counsel DZGS leaders as they invest in new business lines and technologies. Provide and manage the legal services required for joint ventures, mergers and acquisitions.
Ensure that the company complies with ITAR, EAR, FCPA, BATF, Human Trafficking and other laws applicable to the business. Oversight of training and monitoring of employees regarding compliance with relevant laws, rules, regulations, and corporate policies relating to their businesses.

What You Need To Bring To The Table:

JD and current license to practice law
Eight+ years’ experience, preferably in federal government contracting, regulatory compliance and doing business overseas
Active Top Secret clearance and/or the ability to obtain and maintain Top Secret clearance
Major law firm experience preferred
Military experience preferred
Willingness to travel up to 25%, including international travel
