The Contracts Counsel is responsible for advising the company on commercial, contract and transactional issues involving original equipment, aftermarket parts and general services suppliers.
Duties and Responsibilities:
Drafts, reviews and approves various contracts including, but not limited to: purchase order terms and conditions, purchase/supply agreements, outsourcing agreements, professional services agreements, staffing services agreements, website agreements, cloud agreements and software licensing agreements.
Negotiates contractual language supporting original equipment, aftermarket parts, and general services suppliers.
Interfaces and manages relationships with internal business customers, outside counsel, supplier/vendor counsel, and global in-house network of Honda attorneys as needed.
Provides support to other in-house counsel and General Counsel as needed on issues including, but not limited to: aviation issues, corporate governance, compliance and risk management.
Partners with other organizations and departments to provide training to new employees on legal matters.
Education, Work Experience, Certification and/or Licensure:
Juris Doctor Degree required.
5+ years of legal practice with an emphasis on commercial, contract and transactional legal matters within a law firm, corporate legal department or government entity is required.
Previous experience advising on drafting, interpreting and negotiating contracts (including UCC Article 2) involving original equipment and aftermarket parts suppliers is required.
Previous experience with aviation regulations and aviation/international contracts is highly preferred.
Currently active member of a U.S. State Bar is required.
Knowledge, Skills and Abilities:
Extensive knowledge of contracts related to original equipment and aftermarket parts suppliers is required.
Working knowledge of legal subject areas including, but not limited to: intellectual property, customs, and trade compliance is highly beneficial.
Proficiency in MS Office is required.
Ability to communicate effectively throughout all levels of an organization.
Ability to take a proactive and practical approach.
Ability to prioritize and multi-task within tight timeframes without sacrificing attention to detail or compromising confidential information.
Incumbents may be occasionally exposed to equipment operational noise heat-cold-dust, and/or aircraft equipment, parts, or fuel odors.
Incumbents may be required to stand, sit, squat, walk, bend, climb ladders, move, reach, or stretch for prolonged time periods with no restrictions, as required by job duties.
Work in a safe and professional manner while adhering to all regulatory requirements (FM, OSHA, DOT, EPA, State, and Federal regulations, etc.).
Read, hear, speak, and see with no restrictions, as required by job duties.
Comprehend and adhere to management directions and/or safety instructions with no restrictions.
Effectively communicate in Business English language.
Pull, push, carry, lift, or move items up to 10 lbs. throughout the work shift without assistance, as required by job duties.
Pull, push, carry, lift or move materials/people/items/equipment weighing up to 50Ibs or more during the work shift, with the use of Company provided “reach assistance technology” or “movement assist technology” (fork-lifts, pallet jacks, pulleys, dolly’s, robotics reach equipment, people movers etc.), as required by job duties.
