Overview

Our client is a leading reinsurance company with offices in downtown Manhattan and headquarters in Bermuda (some travel to Bermuda required).

Job Description: Newly created position to provide support for holding company corporate legal work, including public company reporting, finance, treasury (including credit agreement legal work, compliance and reporting), corporate governance, Board of Directors, executive compensation reporting and filing, investor relations, and marketing and communications.

Responsibilities: 

1. Public Company Reporting and Disclosure  

2. Treasury, General Corporate and Transactional  

3. Board of Directors, Corporate Governance and Corporate Secretarial 

4. M&A and Private Equity 

Qualifications: 3-5 years of general corporate and securities law at top law firm.  Detailed knowledge of federal securities laws, including the Securities Act of 1933 and the Securities and Exchange Act of 1934, Regulation FD, Regulation G, etc.  Substantial experience drafting Forms 10-Q, 10-K, proxy statements, registration statements, etc.  Experience with bank financings and/or capital markets transaction execution a plus.
