Job Description

BCD Travel is looking to immediately hire a qualified corporate attorney meeting the below specifications. The primary emphasis for this position will be in supporting BCD Travel’s Atlanta and Chicago based legal teams in providing service-oriented, business-minded counsel in connection with domestic and international commercial agreements, mergers and acquisitions and other legal related matters. The position is located in Atlanta.

Key Responsibilities:

  • Review, analyze, interpret, draft and negotiate a wide variety of commercial contracts for our sales, account management, procurement, technology and supplier relations departments.
  • Assist with U.S. and international mergers and acquisitions, including drafting of purchase agreements, shareholder agreements, ancillary agreements and managing certain M&A processes.
  • Assist with employment matters and agreements.
  • Provide other legal support to senior legal staff responsible for the Americas, EMEA and Asia Pacific regions.
  • Manage relationships and communications with internal BCD clients, external clients, and external legal counsel and internal contract and procurement personnel.
  • Assist with employment and other litigation.

 

Qualifications:

  • Attorney admitted to and in good standing with a state Bar Association (all states will be considered)
  • Baccalaureate degree from a four year institution; JD from an accredited law school.
  • 5+ total years of experience in a law firm and/or in-house law department (large law firm commercial transactions experience preferred).
  • Experience in travel industry helpful but not required.
  • Experience with data privacy matters helpful but not required.
  • Significant experience drafting and negotiating commercial contracts, including technology-related agreements required – mergers and acquisitions experience preferred.
  • Ideal candidate will have a broad range of experience with business transactional matters.
  • Must be a self-starter, able to handle moderate sized transactions without significant supervision.
  • Must have a customer-service oriented approach to practicing law with an eye towards practical application and an understanding of how legal issues fit into the overall strategic plans of the business.
  • Must be detail-oriented but also able to see the big picture and have a solutions-oriented mindset.

  • Ability to engage and manage the activities of specialized outside counsel as needed.
  • Ability to interact directly with the company’s senior leadership, proposing practical and creative solutions to complex business issues and providing pragmatic risk assessments.
  • Ability to work collaboratively across multiple functions, organizations and with a diverse group of colleagues, including in-house attorneys in U.S. and other countries, at all levels.
  • Ability to establish and maintain effective relationships with clients and gain their respect and trust.
