Summary/Objective

The Staff Counsel will play an important role in supporting DAVACO’s operations group.  Reviewing, drafting and negotiating client and vendor contracts, as well as assisting with risk management, litigation, licensing, compliance, and labor matters in the US and Canada. 

This is a key position within our organization requiring daily interaction with internal and external clients.  The successful candidate will report to our general counsel, and work closely with our existing corporate paralegal. 

Job Description

As a member of the DAVACO team your job will encompass different levels of responsibility that commands professionalism and confidentiality. Below is a partial list of responsibilities. You will be required to sign a non-disclosure/non-compete agreement as a condition of employment.

  • Duties and Responsibilities

    • Provides continuing counsel and guidance on legal matters and on legal implications of various matters;
    • Serves as key lawyer/legal advisor on major business transactions;
    • Participates in the definition and development of corporate policies, procedures and programs;
    • Participates in selection, retention, management and evaluation of all outside counsel;
    • Anticipates and guards against legal risks;
    • Manages legal matters pertaining to the company;
    • Advises on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities;
    • Manages organization’s intellectual property
    • Maintains knowledge of organization’s operations and legal documents;
    • Examines and creates agreements;
    • Manages, reviews, and supports negotiations of critical contracts;
    • Provide legal advice on corporate governance, corporate transactions, regulatory compliance, and litigation/dispute resolution;
    • Identify, evaluate, and help with compliance issues, applying good judgment and an understanding of business, legal, and regulatory principles related to senior living industry;
    • Conduct research and advise on various federal and state regulatory requirements;
    • Draft/review various types of contracts including confidentiality agreements, independent contractor agreements, master service agreements, operating agreements, contract amendments, term sheets, and general correspondence;
    • Provide advice and counsel regarding a broad array of labor and employment law related issues, including recruiting, hiring, discipline and termination, disability accommodations, compliance with applicable federal, state and local laws and regulations, as well as internal investigations and litigation avoidance;
    • Provide training to community management on a variety of legal issues;
    • Manage work of outside counsel and associated costs;
    • Participate in review of insurance related incidents;
    • Manage drafting and filing formation documents, state registrations and licenses. Ensure renewals and updates are executed in a timely manner;
    • Diligently tracks and manages legal and corporate documents;
    • Prepare and submit regulatory filings and corporate reports with governmental agencies;
    • Participates in reviews of insurance related incidents;
    • Assists with organization of litigation materials and attorney work product;
    • Participates in transactional work, including due diligence, signature packets, closing checklists, disclosure schedules and closing binders;
    • Handle other legal matters as assigned.

Preferred Background

  • J.D degree;
  • Licensed to practice law in State of Texas;
  • 5+ years in corporate practice;
  • Knowledge of statutes, rules and regulations pertaining to businesses;
  • Must be proficient in Microsoft Office Suite
  • Proficient understanding of business sensitivities and confidentiality;
