The General Counsel will be integral to KLJ’s long-term strategy as it continues its transformation from a solid regional engineering services firm to a nationally-recognized firm delivering on its mission to improve the lives of people and communities by engineering progressive infrastructure across the nation.
Duties & Responsibilities
Lead and develop the legal function and legal staff of the corporation
Provide strategic and legal advice to the corporation
Promote and lead business and legal compliance activities
Promote mitigation and lead resolution of formal disputes and litigation
Oversee ethical alignment of the company
Oversee the contracting process, terms and fulfillment in alignment with company objectives and requirements
Maintain corporate awareness of relevant enterprise risks and oversee risk management in areas of direct responsibility
Oversee all other corporate legal transactions including routine ESOP stock transactions, M&A transactions, and other transactions as assigned
Provide influence in development of aligned corporate culture
Emerge, align and oversee administration of practices applicable to the relevant social responsibilities of the corporation
Provide relevant advice and counsel to the Board of Directors
Promotes company value and future vision with stakeholders, creditors and constituents
Juris Doctorate degree; licensed attorney – in North Dakota and at least State of Residency
Proven ability to provide strategic advice to the executives and Board, and lead the legal function of the corporation
Proven ability to catalyze behaviors in a manner that promotes strategy, ethical alignment, corporate social responsibility and corporate culture across the company
Proven ability to protect and preserve people and the critical assets of the organization by maintaining corporate awareness of relevant enterprise risks
Proven ability to develop and manage a diverse group of internal and external support to provide for the breadth and nature of the business in efficiently leading compliance activities for corporations of at least $100M, resolving legal disputes and litigation brought against the corporation or its stakeholders, overseeing corporate transactions including Mergers & Acquisitions and matters related to maintaining the corporate ESOP ownership structure
Experience working with diverse groups and groups of industry specific professionals (e.g., engineers, scientists, etc.)
Experience working with constructors and infrastructure providers to create
mutually aligned expectations considering the benefits of various delivery methods (DBB, DB, CM, PPP, etc.),
contract terms that balance and create a platform to manage risk
Experience working with constructors and infrastructure providers to resolve disputes before they need to be litigated
Experience in construction law and dispute resolution
Litigation and contract experience
Working knowledge of enterprise risk management
Working knowledge of ERISA and ESOP ownership
Hours and Travel
This position requires the individual work 40+ hours per week with a majority of the time spent in the office.
